Raduzhny, , KhMAO. Annual general meeting of shareholders was held in OAO Varioganneft, a subsidiary of OAO NK RussNeft, . The list of shareholders entitled to participate in the meeting was made according to the register of registered securities holders as of April 22, 2013.
The agenda included standard questions, as well as the point of approval of related party transactions, which may be committed by the Company in future in the ordinary course of business.
At the shareholders' meeting of OAO Varioganneft the results of the Company’s work for the past year were summarized - all the target financial and economic indicators were fulfilled. The Audit Committee of the Company confirmed accuracy of the information presented in the Company Annual Report on financial and economic activity in 2012. The shareholders approved the annual report of OAO Varioganneft, the annual financial statements of the Company, including the Company's financial results for 2012.
The meeting of shareholders approved payment of dividends for 2012 only on preferred shares. The Company will assign 11 012 258.40 rubles for payment of dividends for 2012, , which is 65% more than last year. As for the remainder of the net profit for 2012, the meeting made the decision not to distribute it.
The shareholders also elected a new Board of Directors of Varioganneft consisting of seven people , and members of the Audit Committee in the number of three.
The meeting approved the audit company ZAO Auditorskaya Kompania Gorodskoy Centr Expertiz as the Company auditor for financial and economic activity audit in 2013. Shareholders approved the related party transactions which may be made by the Company in future.
Results of the voting and decisions taken on the items of the agenda of the annual general meeting of shareholders, were announced at the annual general meeting of shareholders on June 10, 2013.
